1. About These Terms
These Terms and Conditions ("Terms") govern the provision of printing and related services by PrintSmith Ltd ("we", "us", "our", "PrintSmith") to you ("Customer", "you", "your").

By placing an order with us, you agree to be bound by these Terms. Please read them carefully before ordering.
2. Quotations and Orders
2.1 Quotations
- All quotations are valid for 30 days from the date of issue unless otherwise stated
- Quotations are based on the specifications provided by you
- We reserve the right to revise quotations if specifications change
- Quotations are not binding until accepted and confirmed
2.2 Order Acceptance
- A contract is formed when we confirm your order in writing or by email
- We reserve the right to refuse or cancel any order at our discretion
- Order confirmations will include specifications, quantities, pricing, and estimated delivery
2.3 Order Changes
- Changes to orders after confirmation may incur additional charges
- We cannot guarantee that changes can be accommodated once production has started
- Cancellations after production has commenced will be subject to charges for work completed
3. Pricing and Payment
3.1 Prices
- All prices are in Euro (€) unless otherwise stated
- Prices exclude VAT unless stated otherwise (current Irish VAT rate applies)
- Prices exclude delivery unless stated otherwise
- We reserve the right to adjust prices due to material cost increases or specification changes
3.2 Payment Terms
- New customers: Payment in full before production commences
- Established customers: Payment within 30 days of invoice date (subject to credit approval)
- We accept bank transfer, credit/debit cards, and other methods as agreed
- Late payments may incur interest at 2% per month or the statutory rate under the EU Late Payment Directive (whichever is higher)
3.3 Deposits
- We may require a deposit (typically 50%) before commencing large or custom orders
- Deposits are non-refundable once production has started
4. Artwork and Proofs
4.1 Customer-Supplied Artwork
- You are responsible for ensuring artwork is print-ready and meets our specifications
- Artwork should be supplied in the formats specified (PDF, AI, EPS, or as advised)
- We are not liable for errors in customer-supplied artwork
- We reserve the right to charge for artwork corrections or modifications
4.2 Proofs
- Digital proofs will be provided for approval before production
- Physical proofs may be provided for an additional charge
- You must review and approve proofs within 48 hours (or as agreed)
- Approved proofs signify your acceptance of the design, colors, text, and layout
- We are not liable for errors that were present in approved proofs
4.3 Color Matching
- Digital proofs are for layout and content checking only—not exact color representation
- Color variations between screens, printers, and final prints are normal
- For critical color matching, we recommend Pantone references and physical proofs
5. Production and Quality
5.1 Production Standards
- We adhere to industry-standard print tolerances (typically ±5% on quantities over 100 units)
- Minor variations in color, cutting, and registration are acceptable within industry norms
- We will replace or refund products that fail to meet reasonable quality standards
5.2 Quantity Variations
- Final quantities may vary by up to 10% (or as agreed) due to production requirements
- You will be charged for the actual quantity delivered
- We will inform you if the variation exceeds agreed tolerances
5.3 Materials
- We will use materials of the type and quality specified in the order
- We reserve the right to substitute equivalent materials if specified materials are unavailable
- Samples of materials are available on request
6. Delivery
6.1 Delivery Times
- Delivery times are estimates only and are not guaranteed
- Turnaround times commence when artwork is approved and payment received (or credit approved)
- We are not liable for delays beyond our reasonable control
6.2 Delivery Methods
- Standard delivery: Courier or postal service within Ireland (charged separately)
- Collection: Available by arrangement at our premises
- International delivery: Available with additional charges and customs considerations
6.3 Risk and Title
- Risk passes to you upon delivery or collection
- Title (ownership) passes when full payment is received
- You must inspect goods upon delivery and report any damage or shortages within 48 hours
7. Consumer Rights (EU/Ireland)
7.1 Right of Withdrawal (Consumers Only)
If you are a consumer (not a business), you may have the right to cancel within 14 days under the EU Consumer Rights Directive. However, this right does NOT apply to:
- Custom-made or personalized products
- Products made to your specifications
- Sealed products that cannot be returned for hygiene or health protection reasons once unsealed
Since most of our products are custom-made, the 14-day cancellation right typically does not apply. We will clarify this when you place your order.
7.2 Faulty Products
If products are faulty or not as described, you have rights under the Sale of Goods and Supply of Services Act 1980 and the Consumer Rights Act 2022. We will repair, replace, or refund faulty goods.
8. Returns and Refunds
8.1 Our Responsibility
We will accept returns and provide refunds or replacements if:
- Products are faulty or defective due to our error
- Products do not match the approved proof
- Products are significantly below reasonable quality standards
8.2 Not Our Responsibility
We are NOT liable for:
- Errors in customer-supplied artwork that were approved in proofs
- Color variations within normal industry tolerances
- Quantity variations within agreed tolerances
- Delays caused by you (e.g., late artwork approval)
- Changes of mind after production has commenced
8.3 Claims Procedure
- Report issues within 7 days of delivery
- Provide photos or samples of the alleged defect
- Return goods only if we request them
- We will investigate and respond within 14 days
9. Intellectual Property
9.1 Your Content
- You retain ownership of your artwork, logos, and content
- You grant us a license to reproduce your content for the purpose of fulfilling your order
- You warrant that you own or have the right to use all content provided
- You indemnify us against any claims arising from your content
9.2 Our Designs
- If we create designs for you, copyright belongs to PrintSmith unless otherwise agreed in writing
- You may use our designs for the agreed purpose only
- Additional uses require separate agreement and may incur charges
9.3 Third-Party Rights
- You must not provide content that infringes third-party intellectual property rights
- We reserve the right to refuse orders that may infringe rights or be illegal
10. Liability and Indemnity
10.1 Our Liability Cap
Our total liability for any claim arising from a contract is limited to the value of that specific order, except where:
- Liability cannot be excluded by law (e.g., death or personal injury caused by our negligence)
- We have acted fraudulently or with gross negligence
10.2 Exclusions
We are not liable for:
- Loss of profits, business, reputation, or opportunity
- Indirect or consequential losses
- Delays beyond our reasonable control (force majeure)
10.3 Your Indemnity
You agree to indemnify us against any claims, costs, or damages arising from:
- Your breach of these Terms
- Infringement of third-party rights by your content
- Illegal, defamatory, or harmful content you provide
11. Data Protection and Privacy
We process your personal data in accordance with GDPR and Irish data protection laws. Please see our Privacy Policy for full details.
12. Force Majeure
We are not liable for failure to perform our obligations due to events beyond our reasonable control, including:
- Natural disasters, pandemics, war, terrorism
- Strikes, labor disputes
- Supplier failures, material shortages
- Power outages, equipment failures
- Government actions or restrictions
13. Dispute Resolution
13.1 Informal Resolution
We encourage you to contact us first to resolve any disputes informally.
13.2 Alternative Dispute Resolution (EU)
If you are a consumer in the EU, you may use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr
13.3 Governing Law and Jurisdiction
- These Terms are governed by the laws of Ireland
- Business customers: Disputes will be subject to the exclusive jurisdiction of the Irish courts
- Consumer customers: You retain your rights to bring proceedings in your country of residence
14. General Provisions
14.1 Entire Agreement
These Terms constitute the entire agreement between you and PrintSmith unless varied in writing.
14.2 Variations
We may update these Terms from time to time. Updated Terms apply to orders placed after the update date.
14.3 Severability
If any provision is held invalid, the remaining provisions remain in full force.
14.4 Waiver
Our failure to enforce any right does not constitute a waiver of that right.
14.5 Assignment
We may assign or subcontract our rights and obligations. You may not assign your rights without our written consent.
